MGC will have the right <br \/>to participate in any defense by you of a third-party claim related to your use of any of the <br \/>content\/services , with the counsel of MGC\u2019s choice at its expense. MGC will reasonably <br \/>cooperate in any defense by you of a third-party claim at your request and expense. You will <br \/>have sole responsibility to defend MGC against any claim, but you must receive MGC\u2019s prior <br \/>written consent regarding any related settlement. The terms of this provision will survive any <br \/>termination or cancellation of this Agreement or your use of the MGCBRIDGE website and its <br \/>services. <br \/><br \/>COPYRIGHTS \/ TRADEMARKS <br \/>All content and materials available on https:\/\/mgcbridge.in, including but not limited to text, <br \/>graphics, website name, code, images and logos are the intellectual property of MGC and are <br \/>protected by applicable copyright and trademark law. It can be accessed by most countries around the world. As each country <br \/>has laws that may differ from those of Tamilnadu, India, by accessing our MGCBRIDGE website, <br \/>you agree that the statutes and laws of Tamilnadu, India, without regard to its conflict of law <br \/>principles to the contrary, will apply to all matters relating to the use of the MGCBRIDGE website <br \/>and the purchase of any services. <br \/><br \/>EFFECT OF WAIVER <br \/>The failure of MGC to exercise or enforce any right or provision of this Agreement will not <br \/>constitute a waiver of such right or provision. If any provision of this Agreement is found by a <br \/>court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should <br \/>endeavor to give effect to the parties&#8217; intentions as reflected in the provision and the other <br \/>provisions of this Agreement remain in full force and effect. <br \/><br \/>WAIVER OF CLASS ACTION RIGHTS <br \/>By entering into this agreement, you hereby irrevocably waive any right you may have to join <br \/>claim with those of others in the form of a class action or similar procedural device. any claims <br \/>arising out of or relating to or in connection with this agreement must be asserted individually. <br \/><br \/>TERMINATION <br \/>MGC reserves the right to terminate your access to the MGCBRIDGE website and its services if <br \/>it reasonably believes, in its sole discretion, that you have breached any of the terms and <br \/>conditions of this Agreement. Following termination, you will not be permitted to use the <br \/>MGCBRIDGE website and MGC may, in its sole discretion and without advance notice to you, <br \/>cancel any outstanding orders. If your access to the MGCBRIDGE website is terminated, MGC <br \/>reserves the right to exercise whatever means it deems necessary to prevent unauthorized <br \/>access of the MGCBRIDGE website.
